These Terms of Service (“Terms”) govern your access and use of services provided by Philoxenia Agency SRL (“Philoxenia Agency,” “we,” “our,” or “us”).
By purchasing, accessing, or using our services, you agree to be legally bound by these Terms.
If you do not agree, please discontinue use of the services immediately.
1️⃣ Services Provided
Philoxenia Agency offers AI-powered automation services including, but not limited to:
AI appointment setters (Instagram, WhatsApp, Email, LinkedIn)
AI knowledge assistant for internal teams
Workflow automation & CRM integrations
Setup, onboarding, and technical support
Final deliverables and service details are specified in each individual proposal, contract, or invoice.
We may modify or improve features over time as part of ongoing development.
2️⃣ Account Requirements
Clients must provide accurate and complete information necessary for service delivery, including:
CRM or platform access (e.g., Instagram, WhatsApp, Slack)
Offer details, pricing, SOPs, product knowledge
Required content and brand assets
You are solely responsible for ensuring your platforms remain compliant with their own Terms (Meta, WhatsApp, etc.).
3️⃣ Client Responsibilities
By using our services, you confirm:
You own or are authorized to use all data you provide
You have obtained lawful consent from your prospects to message them
Your use of AI automation complies with applicable laws and platform policies
You will not use the services for illegal, harmful, or misleading activity
Philoxenia Agency is not responsible for violations caused by the client’s lack of compliance.
4️⃣ Fees & Payments
Pricing for our services consists of:
One-time setup fee – covering onboarding, integration, configuration, and AI training
Monthly subscription fee – for continued access, support, updates, maintenance, and automations
Fee amounts will be stated in your proposal, service agreement, or invoice.
Free Trials
At our discretion, we may provide a 7-day free trial or other trial duration.
Trials are offered for evaluation only. At the end of the trial period, the subscription will automatically convert into a paid plan unless cancelled before renewal.
Billing & Subscription Terms
Subscription fees are billed monthly in advance
Charges are non-refundable, including partial months
Failure to pay may result in pause or termination of services
Prices may change with prior notice
Payment Processing
Payments are completed securely through third-party processors (e.g., Stripe, Revolut, Wise).
We do not store any full payment card details.
Taxes
Applicable taxes or government charges remain the responsibility of the client.
5️⃣ Refund Policy
-Subscription fees are non-refundable once charged
-Setup fees are non-refundable, as work begins immediately and includes customized implementation
Clients can cancel future billing at any time with written notice.
Cancellation does not refund partial months already billed.
Free trials may be cancelled at any time before the paid plan begins to avoid charges.
Refunds or credits are provided only:
-where legally required, or
-if a specific written guarantee applies in your agreement
6️⃣ Data Processing & Privacy
We process personal data only as necessary to deliver the contracted services.
For data of your customers/prospects, you are the Data Controller
Philoxenia Agency acts as Data Processor under GDPR Article 28
A Data Processing Agreement (DPA) can be provided upon request.

7️⃣ Intellectual Property
All intellectual property in the services — workflows, AI prompts, automation frameworks, knowledge-base structures — remains the sole property of Philoxenia Agency unless otherwise agreed in writing.
You receive a license to use the delivered AI systems for the duration of the contract, not ownership of the underlying IP.
You may not reverse-engineer, copy, resell, or replicate our systems.
8️⃣ Service Availability & Updates
We aim for maximum uptime but do not guarantee uninterrupted service due to:
Availability of third-party platforms and APIs (Meta, Twilio, OpenAI, etc.)
Maintenance, updates, outages, or integration changes
We may modify features or discontinue outdated functionality at any time to maintain performance and compliance.
9️⃣ Limitation of Liability
To the maximum extent permitted by law:
We are not liable for any indirect, incidental, or consequential damages
We do not guarantee sales results or revenue outcomes
Data accuracy depends on the information provided by the client
Our total liability is limited to the amount paid by the client for services within the previous 3 months.
🔟 Termination
Either party may terminate services with written notice if:
The other party breaches these Terms
The client fails to make due payments
Upon termination:
Access to automations and AI workflows may be revoked
Outstanding invoices must be paid in full
Data deletion will be handled according to the Privacy Policy
1️⃣1️⃣ Confidentiality
Both parties agree to keep all business information, performance data, and proprietary assets strictly confidential.
This includes clients’ SOPs, CRM data, messaging content, and strategic workflows.
1️⃣2️⃣ International Use
You are responsible for complying with all applicable local laws when operating internationally, including:
Data privacy laws
Marketing and messaging regulations
Platform policies
1️⃣3️⃣ Changes to Terms
We may update these Terms from time to time.
The “Last Updated” date indicates the latest version. Continuing to use the service after updates means you accept the revised Terms.
